Terms of Service

1. Agreement and Acceptance

These Terms of Service ("Terms") form a legally binding agreement between you and Adelyons Software LLC ("Adelyons," "we," or "us") governing your use of the Utilify application and any associated services (collectively, the "App"). By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the App.

For users who download Utilify from the Apple App Store, Apple, Inc. is not a party to these Terms and is not responsible for the App or its content. Apple has no obligation to provide any support or maintenance for the App. In the event of any conflict between these Terms and the Apple Media Services Terms and Conditions, the Apple terms govern solely with respect to Apple's obligations.

2. License Grant

Subject to your compliance with these Terms, Adelyons grants you a limited, non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control, solely for your personal, non-commercial use of monitoring your own utility meters.

You may not:

• Copy, modify, distribute, sell, or lease any part of the App
• Reverse-engineer or attempt to extract the source code (except where permitted by applicable law)
• Use the App to monitor meters you do not own or have explicit authorization to monitor
• Use the App in any way that violates applicable local, national, or international law

The headless Linux and Windows server builds are provided under the same personal-use license. You may run them on your own hardware to serve your own meter data to your own devices.

3. Pro Subscription

What's included. Utilify Pro unlocks remote viewing via an encrypted tunnel so you can check your meter from anywhere, along with any additional Pro features added in future updates.

Pricing and billing. Pro is offered as an auto-renewing subscription. Current pricing is displayed in the App and your app store at the time of purchase. Prices may vary by region and are set by the applicable app store.

Auto-renewal. Your subscription renews automatically at the end of each billing period unless you cancel at least 24 hours before the renewal date. Your payment method on file with the app store will be charged at the confirmed purchase price.

Cancellation. You may cancel at any time through your device's app store subscription settings. Cancellation takes effect at the end of the current billing period — you retain Pro access until then. We do not issue partial refunds for unused time.

Free trial. If a free trial is offered, unused trial time is forfeited when you purchase a Pro subscription during the trial period.

Price changes. If we change subscription pricing, we will provide advance notice. Continued use after the notice period constitutes acceptance of the new price.

Billing processor. Subscriptions are processed by the applicable app store (Apple App Store, Google Play) or RevenueCat on their behalf. Adelyons does not store your payment card information.

4. Hardware and Radio Compliance

Utilify works with RTL-SDR USB radio dongles to receive meter broadcasts. You are solely responsible for ensuring that your use of radio-receiving hardware complies with all applicable laws and regulations in your jurisdiction.

Utilify only receives radio signals — it does not transmit. Passively receiving unencrypted meter broadcasts that are intentionally broadcast over the public radio spectrum is generally lawful in the United States, but you should verify this for your location. Adelyons makes no legal representations about the permissibility of passive radio monitoring in your jurisdiction.

5. Data and Privacy

Utilify stores meter readings locally on your device. We do not collect, upload, or sell your usage data. See our Privacy Policy for complete details on what information the App processes and how.

The Pro tunnel feature relays data between your devices over an encrypted connection. Adelyons does not log or store meter data in transit. You are responsible for securing your tunnel endpoint URL and not sharing it with unauthorized parties.

6. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ADELYONS EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

In particular, we make no warranty that:

• Meter readings will be accurate, complete, or suitable for billing verification
• The App will function with every RTL-SDR device or operating system version
• The App will be uninterrupted, error-free, or free from security vulnerabilities
• Any specific meter type or protocol will be detected in your area

Meter readings captured by the App reflect values broadcast over the air and are for informational purposes only. Do not use them as a substitute for your official utility bill.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ADELYONS AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM:

• Your use of or inability to use the App
• Inaccurate meter readings or data
• Unauthorized access to your tunnel endpoint
• Any other matter relating to the App

IN NO EVENT SHALL ADELYONS'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID FOR THE APP OR, IF GREATER, FIFTY U.S. DOLLARS ($50). Some jurisdictions do not allow exclusion of implied warranties or limitation of incidental damages, so the above limitations may not apply to you.

8. Intellectual Property

The App, including its source code, design, and all associated content, is the property of Adelyons Software LLC and is protected by copyright and other intellectual property laws. Nothing in these Terms transfers any intellectual property rights to you other than the limited license described in Section 2.

Third-party components (SQLite, RTL-SDR libraries, Flutter framework, etc.) are used under their respective open-source licenses.

9. Third-Party Services

The App may integrate with third-party services including Open-Meteo (weather data), Google Firebase (analytics and crash reporting on mobile), Apple App Store, and Google Play. Your use of those services is governed by their respective terms of service and privacy policies. Adelyons is not responsible for the availability, accuracy, or practices of third-party services.

10. Termination

These Terms remain in effect until terminated. Your rights under these Terms terminate automatically if you violate any provision. Upon termination, you must stop using the App and delete all copies. Sections 6 (Disclaimer of Warranties), 7 (Limitation of Liability), 8 (Intellectual Property), 11 (Governing Law), and 12 (Dispute Resolution) survive termination.

We reserve the right to discontinue the App or any feature at any time. If we discontinue Pro features, we will provide a prorated refund for any unused subscription period to the extent required by applicable app store policies.

11. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Texas, and you consent to personal jurisdiction in those courts.

12. Dispute Resolution

Before filing a claim, you agree to try to resolve any dispute informally by contacting us at contact@adelyons.com. We will try to resolve the dispute informally within 30 days of receiving your notice. If the dispute is not resolved, either party may pursue formal legal proceedings as described in Section 11.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date at the top of this page and, where appropriate, notify you through the App. Continued use of the App after changes take effect constitutes your acceptance of the revised Terms.
